1. Acceptance of Terms

By creating an account or using the MiddleMan platform, you agree to these Terms & Conditions.

If you do not agree, do not use the platform.

2. Platform Purpose

MiddleMan is a peer-to-peer competitive settlement platform.

MiddleMan:

Does not create wagers
Does not set odds
Does not participate in competitions
Does not act as a sportsbook or gambling operator

Users independently define the terms of private competitive agreements.

3. Account Registration

Users must:

Be 18 years or older
Provide accurate information
Maintain confidentiality of login credentials

Accounts may be suspended for fraudulent or abusive behavior.

4. Wager Creation & Agreement Locking

Users may:

Define wager terms
Set equal wager amounts
Send agreements to another party
Modify terms until both parties confirm

Once confirmed by all parties, the agreement is locked and cannot be altered.

5. Deposit Fee & Settlement Fee

For each wager:

Each participant pays a non-refundable $1 deposit service fee prior to competition.
Upon successful completion, MiddleMan deducts a percentage-based settlement fee from the winner’s payout.

Fees may vary based on membership tier.

6. Membership Programs

MiddleMan may offer:

Standard Membership
High Roller Membership (for high-volume users)

Membership benefits may include reduced settlement fees, priority support, and enhanced account features.

Membership fees are non-refundable unless otherwise stated.

7. Result Reporting & Verification

Results may be:

Confirmed by both participants
Verified via uploaded evidence
Evaluated through automated or AI-assisted systems

MiddleMan reserves the right to review disputes and make final determinations regarding settlement.

8. Disputes

If both parties dispute an outcome:

Funds may be temporarily held
Evidence may be requested
Platform decision will be final

9. Prohibited Conduct

Users may not:

Engage in illegal activities
Attempt fraud or manipulation
Circumvent fees
Use the platform for unlawful gambling were prohibited by law

10. Termination

MiddleMan may suspend or terminate accounts for violations of these terms.

11. Limitation of Liability

MiddleMan provides settlement infrastructure only. We are not liable for:

User disputes beyond platform process
External competition results
Indirect damages

12. Indemnification

Users agree to indemnify MiddleMan from claims arising from misuse of the platform.

13. Governing Law

These Terms are governed by the laws of the State of Delaware.

14. Changes to Terms

We may modify these Terms at any time. Continued use constitutes acceptance.

1. Overview

MiddleMan provides a peer-to-peer competitive settlement platform. The Company facilitates secure fund holding and payout services between consenting participants.

This Refund Policy explains how service fees, deposits, and dispute-related outcomes are handled.

2. Service Fee Policy

$1 Participation Service Fee

A non-refundable $1 participation service fee is charged to each participant at the time a competitive agreement is created and confirmed.

This fee compensates MiddleMan for:

Platform access
Secure transaction processing
System usage
Administrative services

This fee is non-refundable once the agreement has been confirmed by both parties.

3. Settlement Fee Policy

A percentage-based settlement fee is charged only when funds are successfully distributed to the designated winning participant.

If no payout occurs, no settlement fee is charged.

4. Refunds Before Agreement Confirmation

If a competitive agreement is not accepted by the receiving party and the agreement expires or is cancelled prior to confirmation:

Funds will be returned to the initiating party.
No settlement fee will apply.
The $1 service fee will not be charged unless both parties confirmed the agreement.

5. Disputed or Unresolved Outcomes

If both participants dispute the outcome of a competition and MiddleMan is unable to determine a credible resolution based on submitted evidence:

The wagered funds will be returned to each respective participant.
No settlement fee will be charged.
The initial $1 participation service fee remains non-refundable.

MiddleMan reserves the right to review dispute patterns and take appropriate account action where repeated unresolved disputes occur.

6. Fraudulent or Abusive Conduct

If an account is found to have engaged in:

Fraudulent reporting
Manipulation of outcomes
Repeated bad-faith disputes
Violation of Terms & Conditions

MiddleMan reserves the right to:

Retain applicable service fees
Restrict or suspend accounts
Deny future platform access

7. Membership Fees

Subscription membership fees (including Standard or High Roller tiers) are non-refundable except where required by law.

Membership cancellation will apply to future billing cycles only.

8. Chargebacks

Initiating a chargeback without first contacting MiddleMan support may result in:

Account suspension
Restriction of platform access
Review of reputation metrics

Users are encouraged to contact support to resolve concerns prior to initiating chargebacks.

9. Limitation of Refund Rights

Refunds are not provided for:

Completed and settled agreements
Losses resulting from validly confirmed competitive outcomes
User error in defining agreement terms

Users are responsible for reviewing agreement details prior to confirmation.

10. Policy Updates

MiddleMan reserves the right to update this policy at any time. Continued use of the platform constitutes acceptance of the revised policy.
